Job Summary
We are seeking a highly skilled Associate (Capital Markets) to provide expert legal support in capital markets and mergers & acquisitions (M&A) transactions. The ideal candidate will have an in-depth understanding of capital markets laws, regulatory compliance, and corporate transactions. This role involves working closely with senior lawyers, conducting legal research, ensuring compliance, and managing documentation to facilitate successful financial transactions.
Key Responsibilities
Legal Advisory & Research

Assist senior lawyers in providing strategic legal advice on capital markets and M&A transactions.

Conduct in-depth legal research on securities regulations, financial laws, and corporate governance.

Provide accurate legal analysis to support decision-making in complex financial transactions.
Due Diligence & Compliance

Perform due diligence to identify legal risks and regulatory compliance issues.

Ensure transactions comply with relevant capital market regulations and financial laws.

Stay updated on industry regulations and advise clients accordingly.
Client & Transaction Management

Engage with clients to gather transaction-related information and provide legal updates.

Support transaction structuring, risk assessment, and execution.

Draft, review, and negotiate key legal documents, including:

Prospectuses, offering circulars, and underwriting agreements

Shareholder agreements, merger control filings, and escrow agreements

Corporate authorizations, legal opinions, and due diligence reports

Documentation & Team Collaboration

Organize and maintain legal documents for accuracy and accessibility.

Work closely with internal teams to ensure seamless transaction execution.

Assist in preparing legal memoranda, reports, and correspondence.
Business Development & Professional Growth

Contribute to business development efforts, including attending industry events and client presentations.

Participate in capital markets and M&A training programs to stay ahead of industry trends.
Other Responsibilities

Perform additional legal tasks as assigned to support the firm’s objectives.
Qualifications & Skills

Education: LLB or JD from an accredited institution; active bar membership required. Advanced degrees or certifications are an advantage.

Experience: Minimum of 5 years post-call experience in capital markets and M&A transactions.

Legal Expertise: Strong knowledge of securities laws, financial transactions, and corporate finance regulations.

Analytical & Problem-Solving Skills: Ability to assess legal risks and provide strategic solutions.

Communication Skills: Excellent written and verbal communication for client and stakeholder engagement.
